Welcome to Maxoo, a global AI tools marketplace that enables creators to build and monetise GPT-powered tools and enables users to access, purchase, and use AI-generated outputs.

By accessing or using Maxoo, you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the platform.

These Terms apply to:

• Users / Buyers accessing or purchasing tools
• Creators building and publishing tools
• Visitors browsing the website
• Sole trader operator of Maxoo ("we", "our", "the Platform")

1. Definitions

• "Platform" / "Maxoo" – The AI tools marketplace operated under a sole trader ABN by the Maxoo owner.
• "Tools" – AI-powered applications, workflows, scripts, prompts, and digital outputs built using OpenAI or similar providers.
• "Creator" – Any individual or business publishing or monetising tools on Maxoo.
• "User" / "Buyer" – Anyone using or purchasing a tool on Maxoo.
• "Stripe" – Third-party payment processor used for payments and payouts.
• "Content" – Data, text, prompts, descriptions, logos, messages, outputs, or media submitted or generated on Maxoo.
• "AI Output" – Any response generated by tools, models, prompts, templates, or automation.

2. Eligibility

You must be:

• At least 18 years old
• Legally capable of entering contracts under applicable law
• Not prohibited from using online services in your jurisdiction

Creators must ensure they have the rights to publish tools and monetise them.

3. Platform Nature (Important Legal Notice)

Maxoo:

• Hosts tools created by independent creators
• Passes user inputs to AI models
• Returns AI-generated content
• Processes payments via Stripe

Maxoo does not guarantee accuracy, correctness, reliability, suitability, or safety of any tool. All outputs are AI-generated, experimental, and should not be relied upon as professional advice.

4. Account Registration

Users and creators must:

• Provide accurate information
• Keep login credentials secure
• Not impersonate others
• Not create multiple fraudulent accounts

Maxoo may suspend, restrict, or terminate accounts that violate terms or cause harm.

5. Marketplace Rules for Creators

Creators agree to:

• Only publish tools they have rights to create
• Not copy or steal others' prompts or IP
• Not upload harmful, illegal, or misleading tools
• Ensure tools comply with OpenAI usage policies
• Agree to platform commission rates
• Only receive payouts via Stripe
• Understand payouts depend on Stripe's processes, not Maxoo

Creators retain IP in their tool designs and descriptions but grant Maxoo a perpetual licence to host, display, distribute, and operate those tools.

6. Fees, Billing & Commission Structure

Users

• Tools may be free or paid
• Paid tools may be per-use, subscription, or credits-based
• Taxes may apply depending on region

Creators

• Maxoo deducts a platform fee/commission
• Stripe deducts processing fees
• Payouts occur only via Stripe, subject to:
  • Stripe account approval
  • Stripe regional rules
  • Fraud checks
  • Delayed or withheld payouts in case of disputes

Creators acknowledge Maxoo is not liable for Stripe delays.

7. Refund Policy

Because Maxoo provides instant digital content generated uniquely for each user, refunds are generally not available, except:

• If there is a duplicate transaction
• If the user could not access the tool due to platform error
• If required by applicable consumer law

Creators must comply with local consumer rights obligations.

8. Use of AI Tools and Generated Content

Users agree that AI output may contain:

• Errors
• Hallucinations
• Inaccuracies
• Outdated information
• Bias or inappropriate content

Users assume full responsibility for how AI output is used.

9. Intellectual Property

Creators

Retain ownership of their prompts, tool designs, and descriptions. Grant Maxoo a license to host, promote, display, and operate tools worldwide.

Users

Own rights to outputs generated based on their own prompts, to the extent permitted by OpenAI and applicable law.

Maxoo

Owns:

• Platform code
• Branding
• Layout
• Marketplace design
• Operational logic

Users and creators may not copy, reverse engineer, or replicate Maxoo.

10. Prohibited Use

You must not use Maxoo to create or distribute:

• Illegal or harmful content
• Hate speech or abuse
• Adult/explicit content
• Malware or harmful automation
• Tools for fraud or deception
• Tools violating OpenAI policies
• Tools violating copyright
• Tools for political persuasion, violence, or discrimination

Maxoo may remove any tool or user violating these rules.

11. Third-Party Services

Maxoo relies on APIs and services including but not limited to:

• OpenAI
• Stripe
• Hosting providers
• Analytics tools

Your use of Maxoo requires compliance with all third-party terms including:

• OpenAI Terms
• Stripe Terms
• Browser/device provider rules

Maxoo is not liable for outages or failures of third-party services.

12. Limitation of Liability

Users and creators agree to indemnify Maxoo against claims arising from:

• Misuse of tools
• Breach of Terms
• Illegal content
• IP violations
• Disputes between users and creators

14. Account Termination

Maxoo may terminate or suspend access for:

• Policy violations
• Fraud
• Abuse or harassment
• Chargebacks
• Misleading or unsafe tools
• Legal requests by authorities

Termination does not entitle refunds.

15. Dispute Resolution

Users agree to resolve disputes by:

• Contacting Maxoo support
• Allowing reasonable investigation
• Attempting good-faith negotiation

International users must comply with local consumer laws where applicable.

16. Changes to Terms

Maxoo may update these Terms at any time. Continued use after changes means acceptance of the updated Terms.
